Please read these Terms of Service carefully. By creating an account or using any part of the SimAcademy platform, you agree to be bound by these terms. If you do not agree, you may not access or use the Service.

1. Introduction and Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and SimAcademy LLC (“SimAcademy,” “we,” “us,” or “our”), governing your access to and use of the SimAcademy website, platform, courses, simulation content, and all related services (collectively, the “Service”).

By clicking “I Agree,” creating an account, or otherwise accessing the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

The Service is intended for use by licensed or credentialed healthcare professionals, medical residents, fellows, and program directors in the United States. By using the Service, you represent and warrant that:

  1. You are at least 18 years of age.
  2. You are a healthcare professional, medical trainee, or program administrator, or you are otherwise authorized by your institution to use the Service.
  3. Any National Provider Identifier (NPI) number you provide is your own, is valid, and is accurately associated with your professional credentials.
  4. You have the legal capacity to enter into these Terms.

3. Account Registration

To access the Service, you must create an account and provide accurate, current, and complete information, including your NPI number and area(s) of specialization. You agree to:

  1. Maintain the accuracy of your account information and update it promptly if it changes.
  2. Keep your login credentials confidential and not share them with any third party.
  3. Accept responsibility for all activity that occurs under your account.
  4. Notify us immediately at support@simacademy.io if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate any account if we reasonably believe the information provided is inaccurate, incomplete, or fraudulent.

4. Description of the Service

SimAcademy provides simulation-based medical education courses designed for healthcare professionals. The Service currently includes a complimentary demo course consisting of clinical simulation lessons across multiple specialties (including, but not limited to, toxicology, pediatric emergency medicine, adult emergency medicine, trauma, and environmental medicine).

Additional courses and features are under active development. Access to future course offerings may be subject to separate terms, pricing, and subscription agreements, which will be presented to you before any purchase is required.

5. Educational Purpose Only — No Medical Advice

Important: All content provided through the Service is for educational and training purposes only. Nothing on the SimAcademy platform constitutes medical advice, clinical guidance, a diagnosis, or a recommendation for the treatment of any patient.

SimAcademy content is designed to supplement — not replace — formal medical education, clinical training, institutional protocols, and the independent professional judgment of licensed practitioners. You should not rely on any SimAcademy content as a substitute for professional medical judgment in actual clinical settings.

Clinical scenarios presented in simulations are fictional and are designed for educational purposes. Patient presentations, clinical data, and outcomes depicted in simulations may be simplified, stylized, or otherwise adapted for instructional effect and do not necessarily represent the full complexity of real-world clinical encounters.

6. NPI and Professional Information

You may be asked to provide your National Provider Identifier (NPI) number and information about your medical specialization(s) during registration. By providing this information, you acknowledge and agree that:

  1. We collect your NPI to verify your status as a healthcare professional and to tailor the educational content presented to you.
  2. We will not share your NPI with third parties except as described in our Privacy Policy or as required by law.
  3. You are solely responsible for the accuracy of the NPI and professional information you provide.
  4. Misrepresentation of professional credentials may result in immediate account termination.

7. User Feedback

From time to time, the Service may invite you to provide feedback on courses, lessons, or the platform generally. By submitting feedback, you grant SimAcademy a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate your feedback into our products and services without any obligation of compensation or attribution to you.

Feedback may be used to improve existing content, develop new courses, inform product decisions, and for marketing or promotional purposes (in anonymized or aggregated form only, unless you provide separate written consent).

8. Intellectual Property

All content on the Service — including but not limited to simulation scenarios, course materials, text, graphics, logos, images, audio, video, software, and the overall design and structure of the platform — is the exclusive property of SimAcademy LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes. You may not:

  1. Copy, reproduce, distribute, or publicly display any content from the Service.
  2. Modify, adapt, translate, or create derivative works based on the Service or its content.
  3. Reverse-engineer, decompile, or disassemble any software or technology underlying the Service.
  4. Use the Service or its content for any commercial purpose without our prior written consent.
  5. Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
  6. Systematically download, scrape, or extract content from the Service using automated means.

9. Acceptable Use

You agree to use the Service only for its intended educational purpose and in compliance with all applicable laws and regulations. You shall not:

  1. Use the Service to harm, harass, or impersonate any person or entity.
  2. Introduce viruses, malware, or any other harmful code to the Service.
  3. Attempt to gain unauthorized access to any part of the Service, other users' accounts, or any systems or networks connected to the Service.
  4. Use the Service in any manner that could damage, disable, overburden, or impair the platform.
  5. Share your account credentials or allow multiple individuals to use a single account.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information, including your NPI number and usage data. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

We implement reasonable administrative, technical, and physical safeguards to protect your personal information. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by applicable law, SimAcademy disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Without limiting the foregoing, SimAcademy does not warrant that:

  1. The Service will be uninterrupted, timely, secure, or error-free.
  2. The content provided through the Service is complete, accurate, or current.
  3. Any clinical outcomes depicted in simulations reflect or predict actual patient outcomes.
  4. The Service will meet your specific educational requirements or expectations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMACADEMY LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — including but not limited to loss of profits, data, goodwill, or other intangible losses — arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

In no event shall SimAcademy's total aggregate liability to you for all claims arising out of or related to the Service exceed the greater of (a) the amount you paid to SimAcademy in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).

12. Indemnification

You agree to indemnify, defend, and hold harmless SimAcademy LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. Your use of or access to the Service.
  2. Your violation of these Terms.
  3. Your violation of any applicable law or regulation.
  4. Any inaccurate or misleading information you provide, including misrepresentation of professional credentials.
  5. Any clinical decisions made based on, or purportedly based on, content from the Service.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us at support@simacademy.io.

Upon termination, your right to use the Service will immediately cease. Sections 5, 7, 8, 11, 12, 14, and 15 of these Terms shall survive any termination or expiration.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, conducted in Houston, Texas. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any additional terms presented at the time of purchase, constitute the entire agreement between you and SimAcademy regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Modifications. We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service prior to the changes taking effect. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
